Plain-language summary. When your vault unlocks, you get a commercial licence to use, edit and publish your personalised deliverables for the business (or businesses) named on your licence certificate. The certificate is the definitive record of what you may do. You can't resell the templates as templates, share your vault, or sub-license beyond what your certificate says. Your licence lasts indefinitely once activated, subject to lawful payment.
1. About these Licence Terms
These Licence Terms govern your rights to use the digital content delivered in any Lucerna Labs Vault. They are incorporated into the Terms of Supply. On Unlock, we issue a licence certificate recording the exact licence tier, scope, authorised uses, authorised businesses or brands, user numbers and any approved extensions for your order. Where these general terms and your certificate differ, the certificate prevails.
2. Licence grant by tier

3. What you may do
Within the scope of your certificate, you may:
- use, edit, adapt, rebrand and build upon your personalised deliverables;
- publish deliverables (for example websites, sales pages, media kits, email campaigns) in the course of the licensed business or brand;
- use internal-facing deliverables (dashboards, trackers, SOPs, workspaces) in operating the licensed business;
- make reasonable backup copies; and
- allow the number of users recorded on your certificate to use the deliverables within the licensed business.
4. What you may not do
- resell, redistribute, publish or give away deliverables as templates, source files or products in their own right (whether free or paid), including in template marketplaces or bundles;
- sub-license, rent or transfer the licence except as expressly recorded on your certificate;
- use deliverables for businesses or brands not covered by your certificate;
- share vault access credentials outside the licensed user count;
- use deliverables to build a product or service that competes with Lucerna Labs' template and generation library;
- remove or circumvent watermarks or protections on Previews (which are not licensed at all — see section 6); or
- represent Lucerna Labs as the author of your published business content — deliverables are published under your own brand.
5. Ownership
- Your inputs remain yours. Information you provide in the Build Questionnaire remains your property.
- Your personalised deliverables are licensed to you on the terms of your certificate, permanently once activated (section 8).
- Our underlying systems remain ours. The generation systems, frameworks, template structures, and know-how used to produce deliverables remain the exclusive property of Lucerna Labs Limited, protected under the Copyright, Designs and Patents Act 1988 and other applicable law. Similar underlying frameworks are used across our customer base; we do not grant exclusivity over structures, concepts or approaches.
- Third-party components (for example open-licence fonts or libraries) identified in your Deliverable Manifest remain subject to their own licence terms, which are included in your vault.
6. Previews
Previews are provided for pre-purchase inspection only. They are watermarked, view-only and non-downloadable, and no licence of any kind is granted over Preview content unless and until the corresponding order is paid and unlocked.
7. Licence extensions
You may extend your licence at any time — additional users, additional brands, broader commercial rights or approved client-use rights — through a Change Order under the Terms of Supply. Each approved extension is recorded in an updated licence certificate, which replaces the previous certificate from its issue date.
8. Term, suspension and termination
- Your licence activates at Unlock and continues indefinitely, without renewal fees.
- If a payment is lawfully reversed or remains unpaid, the corresponding licence and access rights may be suspended or terminated, subject to applicable law. Rights under other, fully-paid orders are unaffected.
- We may terminate a licence for material breach of section 4 that is not remedied within 14 days of written notice. Termination does not affect content already lawfully published where removal would be disproportionate.
9. Governing law
These Licence Terms are governed by the same law and jurisdiction provisions as the Terms of Supply.
